The "$0 LLC" Trap: What Online Formation Services Actually Cost Pennsylvania Business Owners

"$0 plus state fees" is a real price — for the part of forming an LLC that was never the expensive part. The business model of national formation services is the add-ons: roughly $249 per year for registered-agent service (which many Pennsylvania businesses don't need at all), $79 for an EIN the IRS issues free, upgrade tiers, expedite fees, and subscriptions that renew until you cancel. Pennsylvania's actual government cost to form an LLC: a $125 filing fee (waived for qualifying veterans and reservists), a free EIN, and a $7 annual report.

If you've priced forming an LLC online lately, you've seen the pitch: form your LLC for $0 plus state fees. It's not false. It's just the beginning of the receipt, not the end of it.

Where "$0" Goes After Checkout

As of 2026, the largest national formation service publishes three tiers: a $0 basic package, a $249 package (adding an EIN filing, an operating-agreement template, and a compliance calendar), and a $399 package (adding a 30-minute attorney consultation). On top of the tiers come the add-ons:

  • Registered-agent service: ~$249 per year, every year — not included in any package tier, and it renews automatically.
  • EIN filing: ~$79 — for a number the IRS issues free at irs.gov, usually in minutes.
  • Expedited processing: ~$99.
  • Trial subscriptions — bookkeeping and compliance tools that convert to monthly charges unless canceled.

A "$0" formation that takes the middle tier, registered-agent service, and nothing else costs about $500 in year one and $249 every year after — before the state's own fees. That's the value equation the headline doesn't show: the filing was never the product. The subscriptions are.

The Add-On Pennsylvania Makes Unnecessary for Many Businesses

Here's the part that's specific to Pennsylvania, and it's the one that matters most.

Most states require every LLC to designate a registered agent — a person or company available at an address to receive legal papers. National services price accordingly, and their checkout flows treat agent service as an essential.

Pennsylvania works differently. Pennsylvania law requires a registered office — a physical Pennsylvania street address where the company can receive service of process. Not an agent. Not a subscription. An address. If your business operates from a Pennsylvania address — an office, a shop, and in many cases a home office — you can generally list it and pay nothing, ever.

The paid alternative exists for the situation where a business has no physical Pennsylvania address: you then designate a Commercial Registered Office Provider (CROP) — a company whose address stands in for yours. CROPs are a legitimate solution to a specific problem. But if you live and work in Pennsylvania, that specific problem probably isn't yours — and roughly $249 a year, renewing automatically for the life of your company, is a lot to pay for a checkbox you didn't need.

(One honest caveat: some home-based owners prefer a CROP for privacy, since the registered office appears in public records. That's a real reason — but it's a choice to discuss, not a legal requirement to be upsold.)

What Pennsylvania Actually Charges

The Two Things That Are Worth Paying For

Not the filing. The filing is a short form. The lasting-consequence decisions are:

1. The entity and tax choice. LLC or S-corporation election? Single-member or multi-member? How does the choice interact with your other income, your spouse's, your plans to bring in a partner or investor? Get this wrong and you pay for it annually in taxes. 2. The operating agreement — the real one. This is the document that decides what happens when a partner stops contributing, when an owner divorces or dies, when someone wants out, when the members deadlock. A template "operating agreement" from a formation package typically parrots default provisions — which means your company is actually governed by Pennsylvania's default statutory rules, whether or not they match what you and your partners intended.
